U and I Optic Instrument, registered in the Netherlands, operates as a wholesaler, exporter, and service provider for used ophthalmic and optical equipment. All business transactions, quotations, and sales are governed exclusively by these Terms and Conditions. Any alternative terms from clients are excluded unless agreed in writing.
All sales are for export only and intended for professional use. By purchasing from U and I Optic Instrument, the buyer confirms professional qualification and legal right to import and use the products in their country. The company reserves the right to refuse any transaction at its discretion.
All prices are net, excluding VAT, transport, customs duties, and insurance unless stated otherwise in writing. Full payment is required prior to shipment unless credit terms have been approved in advance. Ownership of goods remains with U and I Optic Instrument until full payment is received. Bank and currency transfer fees are the buyer’s responsibility.
All equipment sold is used. Each device is inspected and tested before shipment. Normal signs of prior use such as minor scratches or wear are not considered defects. Items are sold “as shown” in photos. Accessories not visible or not listed in writing are excluded unless specified. Unless stated otherwise, all goods are sold “as-is.”
A six-month limited functional warranty is provided, covering operational defects only. Transport damage, calibration differences, cosmetic issues, software faults, and misuse are excluded. Warranty becomes void if seals are broken, unauthorized repairs are attempted, or evidence of tampering exists. All transport costs for warranty or service are at the buyer’s expense. Fraudulent or unfounded claims result in refusal of further service.
Returns are accepted only with prior written authorization. Goods must be securely packed in their original or equivalent packaging. Damage caused during return transport is the buyer’s responsibility. Refunds are only issued if U and I Optic Instrument cancels a confirmed order prior to shipment without valid cause. Once shipped, orders are final and non-refundable.
Repairs outside warranty are carried out only after written approval of a quotation and prepayment. Service times depend on part availability and transport conditions. Repairs may be performed by U and I Optic Instrument or authorized partners. A three-month service warranty applies to repaired components only.
Delivery is Ex Works (EXW, Netherlands) unless otherwise agreed. Risk passes to the buyer once goods leave the warehouse. U and I Optic Instrument may assist in arranging transport through carriers such as DHL or FedEx but is not liable for loss, delay, or damage during shipment. Import duties, taxes, and customs procedures are the buyer’s responsibility.
The buyer must inspect goods upon delivery and report any visible damage within 48 hours with photographic evidence. After this period, goods are deemed received in good condition.
U and I Optic Instrument accepts no liability for business interruption, lost revenue, data loss, or indirect damages. Liability is limited to the invoice value of the affected item. The company is not responsible for damage resulting from misuse, improper installation, or third-party intervention, nor for delays caused by logistics, customs, or force majeure.
All texts, photos, and designs on uandiopticinstrument.com are the intellectual property of U and I Optic Instrument. Reproduction or distribution without written permission is prohibited.
We do not sell or export to any country, entity, or individual subject to international trade sanctions or restrictions.
If U and I Optic Instrument has reason to believe that a client provides false, incomplete, or misleading information to bypass these regulations, the company reserves the full right to refuse the sale, cancel the order, or terminate cooperation without liability or refund.
Customer data is handled according to GDPR standards. Contact information may be used for order processing, communication, or after-sales support. Data is never sold or shared with third parties.
The buyer is responsible for ensuring compliance with all local import and regulatory requirements. U and I Optic Instrument is not liable for customs rejections, licensing issues, or import restrictions in the buyer’s country.
The company is not liable for any failure or delay caused by force majeure, including natural disasters, strikes, or transport interruptions.
U and I Optic Instrument reserves the right to suspend or terminate any service or transaction in case of non-payment, false claims, or violation of these Terms.
All agreements are governed by Dutch law. The competent court of Arnhem, the Netherlands, has exclusive jurisdiction over any disputes.
